These Terms of Service ("Terms") govern your access to and use of GenoPalate's website, mobile application, the online customer portal through which you access your account, and related services including DNA testing services, add‑on services, and any software applications (collectively, the "Services") provided by GenoPalate, Inc. and its affiliates ("GenoPalate," "we," "us," or "our").

By purchasing or using the Services, or by clicking "I agree," you agree to be legally bound by these Terms. If you do not agree, do not access or use the Services.

We may modify these Terms at any time. Changes are effective immediately upon posting to the Services. By accessing or using the Services after changes are posted, you agree to those changes. For material changes only, you may terminate your GenoPalate account if the changes are unacceptable. Material changes will be conspicuously posted on the Services or otherwise communicated to you.

Arbitration notice THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION. DISPUTES BETWEEN YOU AND GENOPALATE WILL BE RESOLVED BY BINDING ARBITRATION AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS‑WIDE ARBITRATION.

Privacy policy

We may collect, use, and disclose information from or about you, including personal information, as described in our Privacy Policy. If you do not agree to any terms in the Privacy Policy, do not use the Services. If you purchase or participate in our Services, you understand they may involve DNA testing services that include the collection and use of genetic information as described in the Privacy Policy.

License and term

General license

Subject to these Terms, GenoPalate grants you a nonexclusive, non‑assignable, nontransferable, non‑sublicensable, revocable, limited license to access and use the Services solely for your own personal, noncommercial purposes.

Use of genetic reports and other results

“Services” includes, without limitation, all genetic and nutrition reports, individual and group consults, personalized recipes and supplements, and other documents, reports, and materials generated or produced as a result of your use of the Services (together, "Reports"). In addition to the general license above, you may download and copy Reports provided to you by GenoPalate and share those Reports with others, provided you do not sell or otherwise commercialize those Reports and you do not modify or delete any copyright, trademark, or other proprietary notices.

Term

These Terms begin upon the earlier of (i) your clicking to accept these Terms, where that option is available, or (ii) your first access to or use of the Services including by purchasing or registering a DNA test kit, ordering data testing services, submitting a biological genetic testing sample (saliva, buccal swab, blood, urine, stool, or any other cells or fluids), or filling out any questionnaire on our website or within our mobile app, and continue until terminated as provided below.

Intellectual property rights

The Services, including text, audio, video, graphics, charts, photographs, interfaces, icons, software, computer code, data, names of products and services, documentation, other components and content, and the design, selection, and arrangement of content, and all intellectual property rights in the foregoing (collectively, the "Content"), are the exclusive property of GenoPalate or its suppliers and licensors, and are protected by copyright, trademark, and other intellectual property laws. Any reference to the Services includes the Content.

As between you and GenoPalate, any research or analyses resulting from or including your personal information, genetic material, or DNA samples is the sole and exclusive property of GenoPalate for example research performed on biobanked DNA samples. GenoPalate and its suppliers and licensors remain the exclusive owners of all right, title, and interest in and to the Services and Content, and all ideas, concepts, know‑how, methodologies, and techniques related to them, including all intellectual property rights and all modifications, enhancements, improvements, and derivative works, regardless of when created or by whom.

Nothing in these Terms grants you any right to use GenoPalate's or any third party's trademarks, trade names, service marks, logos, or names. Any unauthorized use of trademarks, trade dress, copyrighted materials, or other intellectual property belonging to GenoPalate or any third party is prohibited and may be prosecuted to the fullest extent of the law.

Except as expressly stated in these Terms, no licenses or other rights, express or implied, are granted by GenoPalate under any intellectual property right of GenoPalate. The Services may contain references to third‑party trademarks and copies of third‑party copyrighted materials, which are the property of their respective owners.

Restrictions on use

You agree not to:

  • Copy, reproduce, display, duplicate, sell, publish, post, license, rent, lease, loan, transmit, distribute, modify, translate, adapt, disassemble, decompile, manipulate, reconfigure, reverse‑engineer, discover the source code of, or create derivative works of the Services or any part of the Services including any Reports without GenoPalate’s prior written consent.

  • Remove or alter any copyright, trademark, proprietary, or intellectual property notices in or on the Services or any Reports.

  • Use the Services if you are under the age of majority in your place of residence.

  • Use the Services for unlawful purposes. You are responsible for complying with all applicable laws and regulations.

  • Use the Services in a manner that infringes, violates, or misappropriates GenoPalate’s or any third party’s rights including intellectual property and privacy rights.

  • Submit inaccurate, incomplete, or out‑of‑date information via the Services, commit fraud, act maliciously against GenoPalate’s interests or reputation, submit information you do not have permission to provide, or submit or post anything that is fraudulent, obscene, pornographic, indecent, violent, offensive, hate speech, harassing, threatening, defamatory, harmful to another person, or invasive of another’s privacy.

  • Use the Services to develop or enhance any database or to develop software, technology, or services that compete with or are substantially similar to the Services. Do not access, use, or analyze the Services to GenoPalate’s detriment or commercial disadvantage.

  • Impersonate another person, create an account or order Services for any person other than yourself without that person’s permission, or sell or transfer your GenoPalate account.

  • Access, use, or copy any portion of the Services through indexing agents, spiders, scrapers, bots, or other automated devices. Do not engage in data mining or similar extraction activities.

  • Upload or transmit viruses, worms, Trojan horses, logic bombs, malware, ransomware, or other harmful code.

  • Engage in activities that aim to render the Services inoperable or to make their use more difficult.

Nutrition Coaching Membership

Overview

This agreement outlines the terms and conditions for the month‑to‑month nutrition coaching membership offered by GenoPalate ("Coach," "we," or "us"). By enrolling in the membership, you ("Client") agree to these terms.

Membership inclusions

As part of your monthly membership, you will receive:

  • Personalized nutrition coaching and support

  • Bi‑weekly check‑ins

  • Meal and recipe guidance or plans

  • Ongoing communication via Healthie and email

  • Access to resources and educational content

Payment terms

  • The membership fee is $99 per month, billed automatically every 30 days after the first month.

  • Payment is processed via Shopify.

  • You are responsible for ensuring that your payment method is valid and up to date.

Term and cancellation policy

  • There is a one‑month minimum commitment.

  • After the first month, you may cancel at any time with at least 7 business days notice before your next billing cycle.

  • Cancellations must be submitted in writing via email to hello@genopalate.com.

  • No partial refunds will be issued for mid‑month cancellations.

Refund policy

  • The first month is non‑refundable.

  • Monthly fees are non‑refundable once billed.

  • Exceptions (e.g., medical emergencies) may be considered at our discretion.

Client responsibilities

  • Complete all check‑ins and submit required information on time.

  • Communicate openly and honestly with your coach.

  • Follow recommended guidelines to the best of your ability.

  • Understand that results depend on individual effort and consistency.

Disclaimer

This coaching program is not a substitute for medical advice. Always consult with your physician before starting any new nutrition or exercise program. We do not guarantee specific results; outcomes vary based on the individual.

Termination

We reserve the right to terminate your membership at our discretion for non‑compliance with the terms, inappropriate behavior, or failure to pay fees.

Changes to terms

We may update these terms with at least 14 days notice. Continued use of the service after changes are made constitutes your agreement to the new terms.

By enrolling in the membership, you acknowledge that you have read, understood, and agree to these terms and conditions.
